TERMS AND CONDITIONS OF ENTRY

These Terms and Conditions ("Terms") govern your ticket purchase and attendance at any event organized or produced by Vosters LLC (dba Matinee Social Club) (referred to herein as "Matinee Social Club," "we," or "us"). By purchasing a ticket, RSVPing, or attending any Matinee Social Club event, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, do not purchase a ticket or attend any of our events.

1. Event Format and Nature

Matinee Social Club hosts weekly promotional nightlife events in partnership with a variety of brand sponsors, venues, and affiliated companies. These events are curated social gatherings that typically feature DJs, live entertainment, food and beverage service, and nightlife programming. Event content, location, capacity, and offerings may vary week to week.

2. Age Requirement -- 21 and Over Only

• All events are strictly 21+.

• Valid government-issued photo ID must be presented at the door.

• No exceptions will be made for underage individuals.

• Tickets purchased by or for underage individuals are non-refundable.

3. Assumption of Risk

By attending any event, you acknowledge and accept that:

• You will be participating in a nightlife environment that may include loud music, flashing lights, fog machines, crowded spaces, and possible intoxication by yourself or others;

• You may be exposed to inherent risks, including slips, falls, crowd movement, sound or lighting sensitivity, and interactions with unknown individuals;

• You voluntarily accept full responsibility for any injury, illness, discomfort, or incident that may occur during your attendance;

• Matinee Social Club assumes no liability for injuries, damages, or health issues resulting from your attendance, unless explicitly required by law.

4. Ticket Refund and Transfer Policy

• Refunds may only be requested up to 7 calendar days prior to the scheduled event date for tickets purchases through the Matinee Social Club Eventbrite.

• If the ticket was purchased through one of our partner venue’s ticketing platform (ex. Dice.FM for events at The Stranger or KYD for events at LPF), the tickets are non-refundable.

• No refunds will be issued for:

o Non-attendance

o Illness or emergency

o Travel delays

o Removal due to conduct violations

• Ticket transfers are not permitted. All tickets are issued for the original purchaser only and may not be resold.

5. Food, Allergies, and Outside Items

• Food and drinks may be provided by Matinee Social Club or third-party vendors at select events.

• We do not accommodate dietary restrictions, allergies, religious requirements, or food preferences.

• Food and drinks may be prepared in environments that contain or expose guests to common allergens such as nuts, dairy, gluten, soy, shellfish, and eggs.

• No outside food or beverages are permitted at any event.

• By consuming food or drink on site, you agree to hold Matinee Social Club and affiliated vendors harmless for any allergic reactions, illness, or injury.

6. Alcohol & Substance Policy

• Alcohol may be available for purchase or served to guests 21 and over only.

• Attendees are expected to consume alcohol responsibly and comply with all applicable laws.

• Matinee Social Club enforces a zero-tolerance policy for:

o Underage drinking

o Drug use or possession

o Public intoxication or unsafe behavior

• Violations may result in immediate removal from the event without refund and potential permanent ban from future events.

7. Guest Conduct and Safety

You agree to:

• Treat staff, vendors, performers, and fellow attendees with respect;

• Refrain from aggressive, disruptive, discriminatory, threatening, or illegal behavior;

• Follow all venue rules and instructions from event personnel;

• Be responsible for your personal belongings;

• Accept that violations of conduct may result in immediate removal without refund and possible reporting to authorities.

8. Photography and Media Release

• Events may be filmed, photographed, or live-streamed.

• By entering, you grant Matinee Social Club and its partners the irrevocable right to record and use your image, voice, and likeness for promotional and commercial purposes across all media platforms without compensation.

• You waive any rights of publicity or approval regarding such use.

• Vosters LLC retains the exclusive right to edit, reproduce, display, perform, distribute, sublicense, and publish the photographs, videos, and audio recordings captured during the event, in whole or in part, for any purpose deemed appropriate by Vosters LLC, without limitation.

9. Personal Belongings and Lost Items

• You are solely responsible for your belongings.

• Matinee Social Club and its venue partners assume no liability for lost, stolen, or damaged property.

• Unclaimed items may be disposed of or donated after the event.

10. Medical Emergencies and Health Acknowledgement

• By attending, you certify that you are in sufficient health to participate in nightlife and social activity.

• You consent to receive basic first aid or emergency care if needed.

• You are responsible for any associated medical expenses.

• Matinee Social Club assumes no liability for illness (including communicable disease exposure) or failure to follow public health guidance.

11. No Guarantee of Entry

• Possession of a ticket does not guarantee entry.

• Entry may be denied or revoked at any time at the discretion of staff due to:

o Overcapacity

o Misconduct

o Violation of these Terms

o Safety concerns

• No refund will be issued if entry is denied or revoked for any of the reasons above.

12. Modifications and Event Changes

• Event times, venues, lineups, partners, amenities, or programming may change without notice.

• Matinee Social Club reserves the right to cancel, postpone, or reschedule any event for any reason.

• In such cases, reasonable efforts will be made to notify ticketholders and process refunds or credit only if cancellation occurs prior to the event.

13. Force Majeure

Matinee Social Club shall not be liable for any failure or delay in performance under these Terms that results from circumstances beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, earthquakes, floods, hurricanes, or severe weather conditions;

• War, terrorism, civil unrest, labor strikes, or government actions;

• Epidemic, pandemic, or public health emergencies;

• Venue closures, utility failures, or infrastructure breakdowns;

• Supply chain disruptions or vendor unavailability;

• Any other unforeseeable circumstances that prevent or materially interfere with event operations.

In the event of force majeure circumstances, we may cancel, postpone, or modify events without liability. We will make reasonable efforts to provide notice and offer refunds, credits, or rescheduling options where feasible.

14. Data Privacy and Collection Notice

Information We Collect: When you purchase tickets or attend events, we may collect personal information including but not limited to: name, email address, phone number, age verification data, payment information, attendance records, and any information you voluntarily provide through surveys or communications.

How We Use Your Information: We use collected information to:

• Process ticket purchases and manage event attendance;

• Communicate about upcoming events, changes, or important notices;

• Improve our events and services;

• Comply with legal requirements including age verification;

• Conduct marketing and promotional activities for future events.

Information Sharing: We may share your information with:

• Third-party payment processors and ticketing platforms;

• Event venues and security personnel as necessary for event operations;

• Brand sponsors and partners for promotional purposes;

• Government authorities when required by law.

Your Rights: You have the right to:

• Request access to your personal information;

• Request correction of inaccurate information;

• Opt out of marketing communications (though operational communications may continue);

• Request deletion of your information, subject to legal retention requirements.

Data Security: We implement reasonable security measures to protect your personal information, though no system is completely secure. We retain your information only as long as necessary for the purposes outlined above or as required by law.

By purchasing tickets or attending events, you consent to our collection and use of your information as described above.

15. Limitation of Liability

To the fullest extent allowed by law:

• Matinee Social Club shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your attendance or participation.

• You waive any and all rights to seek damages or legal relief related to personal injury, illness, loss, or dissatisfaction with the event experience.

16. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of any remaining provisions. The remaining provisions shall continue in full force and effect.

Furthermore, if any provision is found to be overly broad or unenforceable in scope, duration, or geographic area, the court shall have the authority to modify such provision to the minimum extent necessary to make it enforceable, rather than invalidating it entirely. This modification shall preserve the intended purpose and effect of the original provision to the greatest extent possible.

The parties expressly agree that these Terms are intended to be enforceable to the fullest extent permitted by applicable law, and any unenforceable provisions shall not render the entire agreement void.

17. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of New York, without regard to its conflict of law principles.

Any disputes shall be resolved exclusively in the courts located in New York County, New York.

18. Agreement

By purchasing a ticket, RSVPing, or attending any Matinee Social Club event, you affirm that you have read, understood, and agree to abide by all Terms outlined above.

You acknowledge that you are waiving certain legal rights, including the right to file a lawsuit against Matinee Social Club and its affiliates.
